Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the Traffiqco platform, website, and related services (“Service”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

If you do not agree, you must not use the Service.

2. Definitions

“Traffiqco” means Traffiqco Limited, a New Zealand-registered company. “User” means any individual or entity accessing the Service. “Output” means any TMP, diagram, staging logic, risk identification, or other content generated by the Service. “RCA” means any Road Controlling Authority in New Zealand or Australia. “NZGTTM” means the New Zealand Guide to Temporary Traffic Management.

3. Nature of the Service

Traffiqco provides software tools designed to assist Users in preparing TMPs and related TTM documentation. Traffiqco is a companion tool, not a replacement for professional judgement, engineering expertise, or compliance obligations.

Traffiqco does not guarantee that any Output is accurate, complete, compliant, or suitable for any specific purpose.

4. User Responsibilities

You agree to:

  • Review and verify all Outputs before use
  • Ensure compliance with NZGTTM, RCA requirements, and applicable laws
  • Submit TMPs through appropriate channels
  • Respond to RCA queries
  • Maintain accurate account information
  • Use the Service only for lawful purposes
  • Not rely solely on Traffiqco for safety-critical decisions

5. Account Registration

You must provide accurate information and maintain the confidentiality of your login credentials. You are responsible for all activity under your account.

6. Payment Terms

Fees may be charged per TMP, per subscription, or under an enterprise agreement. All fees are non-refundable unless required by law. Traffiqco may suspend access for non-payment.

7. Intellectual Property

All intellectual property, including algorithms, reasoning engines, data models, diagrams, templates, and software, is owned exclusively by Traffiqco.

You must not:

  • reverse engineer
  • decompile
  • replicate
  • build competing products
  • use Outputs to train AI models
  • extract or copy internal logic

8. Acceptable Use

You must not:

  • interfere with the Service
  • attempt to bypass security controls
  • upload harmful or malicious content
  • use the Service for unlawful purposes

9. No Guarantee of Accuracy

Outputs may contain errors, omissions, or require modification. Traffiqco does not guarantee:

  • accuracy
  • completeness
  • compliance
  • suitability for any specific project

You are solely responsible for verifying Outputs.

10. Limitation of Liability

To the fullest extent permitted by law:

  • Traffiqco is not liable for TMP errors, RCA rejections, delays, safety incidents, or financial loss
  • Traffiqco is not liable for indirect, incidental, or consequential damages
  • Traffiqco’s total liability is limited to the amount paid by the User in the preceding 12 months

11. Indemnity

You agree to indemnify Traffiqco against claims arising from:

  • misuse of the Service
  • reliance on Outputs without verification
  • failure to comply with NZGTTM or RCA requirements
  • breach of these Terms

12. Termination

Traffiqco may suspend or terminate access for:

  • breach of Terms
  • non-payment
  • misuse
  • legal or safety concerns

13. Changes to Terms

Traffiqco may update these Terms. Users will be notified, and continued use constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of New Zealand.
